Wholesale Terms of Sale

In short: count and inspect your order when it arrives, email us about any shortage, defect or pricing error within 5 days (with photos and your invoice number), and test fabric before cutting. Returns are accepted only with our prior written authorization.

These terms apply to all wholesale orders placed with Rex Fabrics and appear on every invoice. By accepting delivery, the buyer agrees to them.

1. Inspection and claims

Count and inspect all goods as soon as they are received. A cutting ticket is not proof of a shortage.
Report any shortage, defect, or error in items or pricing within 5 days of receipt by emailing info@rexfabrics.net. Include your invoice number, a description of the issue, and clear photos of the fabric and roll labels.
If we do not receive written notice within 5 days, the goods are considered accepted and the buyer waives any claim regarding them.
Rex Fabrics is not responsible for goods after they have been garment dyed.

2. Returns

Returns require prior written authorization from Rex Fabrics. Returns sent without authorization will not be accepted.
To request an authorization, contact our sales team with your invoice number.

3. Testing before production

The buyer is responsible for testing and sampling all goods before cutting or altering them, to confirm they meet the buyer’s requirements, performance standards and intended use. This includes colorfastness, shrinkage, sewability, stretch and recovery, weight and yield, and overall appearance.
Our fabrics do not meet the flammability standards for children’s sleepwear and are not intended for that use.

4. Shipping and risk of loss

Goods shipped by common carrier or parcel service travel at the buyer’s risk.
Rex Fabrics is not liable for lost profits, late deliveries, or any indirect, incidental or consequential losses, including losses arising from a breach of contract by the buyer.

5. Warranties

Unless expressly stated in writing, Rex Fabrics makes no warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose.

6. Payment

Payment is due within the terms stated on the invoice. Time is of the essence.
If payment is late, the buyer agrees to pay all costs of collection and litigation, including attorney fees, plus interest on the overdue balance at 10% per month, or the maximum rate permitted by law, whichever is lower.

7. Governing law and jurisdiction

These terms and any dispute arising from a transaction with Rex Fabrics are governed by the laws of the State of California, and California courts have jurisdiction over any such claim.

8. Copyright

No returns are accepted without prior written authorization from Rex Fabrics.
